These Terms of Service (the "Terms") are a legal agreement between you and Oozie LLC ("Oozie.si," "we," "us," or "our"). They govern your use of the Oozie.si platform and our websites at oozie.tech and oozie.si.

Please read these Terms carefully. SECTION 24 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS-ACTION AND JURY-TRIAL WAIVER THAT AFFECT HOW DISPUTES ARE RESOLVED. You may opt out of arbitration as described in Section 24.

#1. Agreement and Acceptance

#1.1 Accepting These Terms

By creating an account, starting a free trial, clicking to accept, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

#1.2 Business Use Only

The Services are for business use. They are not for personal, family, or household use.

#1.3 Authority

You must be at least 18 years old to use the Services. If you accept these Terms on behalf of a business or other organization, you confirm that you have the authority to bind it to these Terms. In that case, "you" and "Customer" mean that organization.

#2. Definitions

In these Terms:

  • "Services" means the Oozie.si platform, including AI agents for website chat, a shared inbox, SMS, voice calls (including an AI receptionist with call recording and transcripts), reviews, notifications, a knowledge base, integrations, team accounts, and our websites, along with related support.
  • "Customer" or "you" means the business or organization that signs up for the Services.
  • "Team Member" means a person you authorize to use your account.
  • "Contact" or "End Customer" means a person who interacts with you through the Services, such as a caller, chat visitor, SMS recipient, lead, reviewer, or inbox correspondent.
  • "Customer Data" means all content and data that you, your Team Members, or your Contacts submit to or generate through the Services, including call recordings, transcripts, messages, chats, leads, reviews, knowledge base content, and agent configurations.
  • "AI Output" means content generated by AI features of the Services, including responses, summaries, and transcripts.
  • "Plan" means the subscription plan you choose.
  • "Order" means your Plan selection and any add-ons you buy through the Services.
  • "Personal Data" means information relating to an identified or identifiable person, including "personal information" as defined by US state privacy laws.
  • "PHI" means protected health information as defined under the Health Insurance Portability and Accountability Act (HIPAA).
  • "Privacy Policy" means the Oozie.si Privacy Policy available at oozie.tech/privacy or oozie.si.

#3. Accounts, Team Members, and Security

#3.1 Your Account

You must give us accurate and complete information when you sign up and keep it up to date.

#3.2 Team Members

You may invite Team Members and assign them roles. You are responsible for all activity in your account, including what your Team Members do, and for making sure they follow these Terms.

#3.3 Account Security

You are responsible for keeping login credentials confidential. We strongly recommend that you turn on two-factor authentication (2FA) for all Team Members and give each person only the access they need. Tell us promptly at support@oozie.si if you suspect unauthorized access to your account.

#4. Free Trial

#4.1 Trial Access

We may offer a free trial of the Services. During the trial, features, usage limits, and included voice minutes or SMS may be limited, and we may change or end the trial offer at any time.

#4.2 When the Trial Ends

If you have added a payment method, your trial will automatically convert to the paid Plan you selected at the end of the trial, and we will charge your payment method, unless you cancel before the trial ends. If you have not added a payment method, your access to paid features will stop at the end of the trial until you choose a Plan.

#4.3 Trial Disclaimer

Free trials are provided as is, without any warranty, support commitment, or liability, to the extent the law allows.

#5. Plans, Fees, and Billing

#5.1 Plans

We currently offer Plans priced at $79, $149, $249, and $399 per month. Each Plan includes a set number of voice minutes and the features described on our pricing page at the time you subscribe.

#5.2 Usage and Overage

If you use more voice minutes than your Plan includes, we charge overage at $0.45 per minute. SMS messages are charged at $0.05 per SMS segment. A single text message may contain more than one segment depending on its length and characters. Usage is measured by our systems, and our records are final absent manifest error.

#5.3 Billing Through Stripe

Payments are processed by Stripe. By providing a payment method, you authorize us and Stripe to charge it for all fees, overage, and taxes when due. Subscription fees are billed in advance each month. Overage and usage-based charges may be billed in arrears or when they are incurred.

#5.4 Taxes

Fees do not include taxes. You are responsible for all sales, use, value-added, and similar taxes related to your purchase, other than taxes on our income.

#5.5 Auto-Renewal

YOUR SUBSCRIPTION RENEWS AUTOMATICALLY EACH MONTH, AND WE WILL CHARGE YOUR PAYMENT METHOD AT THE START OF EACH BILLING PERIOD, UNTIL YOU CANCEL.

#5.6 Cancellation

You can cancel at any time in your account settings or by emailing support@oozie.si. Cancellation takes effect at the end of your current billing period. You keep access until then, and you will not be charged for the next period. You remain responsible for overage and usage charges incurred before cancellation takes effect.

#5.7 Refunds

Fees are non-refundable, including for partial months and unused minutes or messages, except where required by law or expressly stated in these Terms. We may, at our discretion, issue service credits or refunds in particular cases. Doing so once does not oblige us to do so again.

#5.8 Late or Failed Payments

If a payment fails or is late, we may retry the charge, ask you to update your payment method, and suspend the Services after giving you notice until the amount is paid. You are responsible for any reasonable costs we incur to collect overdue amounts, where the law allows.

#5.9 Price Changes

We may change our prices. We will give you at least 30 days' notice before a price increase takes effect for your subscription. The new price applies starting with your next billing period after the notice period ends. If you do not agree to the change, you can cancel before it takes effect.

#6. Acceptable Use

You agree not to use the Services, and not to let anyone else use them, to:

  • Make illegal robocalls, including automated or artificial-voice calls to Contacts without the consent the law requires
  • Send spam or unsolicited commercial messages, or send marketing calls or texts without the prior express written consent the law requires
  • Spoof caller ID or misrepresent who you are, or impersonate any person or business
  • Harass, threaten, abuse, or intimidate anyone
  • Discriminate unlawfully against anyone, including in housing, employment, credit, insurance, or access to services
  • Create, send, or store illegal, fraudulent, deceptive, defamatory, or infringing content
  • Collect Personal Data unlawfully or without the notices and consents the law requires
  • Probe, scan, or test the vulnerability of the Services, breach security or authentication measures, introduce malware, or interfere with or overload the Services
  • Reverse engineer, decompile, or try to extract the source code or underlying models of the Services, except where the law expressly allows it
  • Copy, resell, or sublicense the Services, or use them to build a competing product
  • Submit, upload, or allow Contacts to transmit PHI during the beta period, as explained in Section 10
  • Submit sensitive regulated data, such as government identification numbers or full payment card numbers outside Stripe's payment forms, into conversations, knowledge bases, or other parts of the Services, except as the product expressly supports
  • Use the Services as an emergency service or in place of one

#6.1 Not an Emergency Service

OOZIE.SI IS NOT A 911 OR EMERGENCY SERVICE. The Services cannot be used to contact emergency services and must not be relied on to handle emergencies. You must make sure your Contacts know how to reach emergency services and your staff directly when needed.

#6.2 Enforcement

We may investigate suspected violations and remove content, block messages or calls, or suspend accounts as described in Section 21.

#7. Your Responsibilities for Communications With Contacts

When Oozie.si calls, texts, records, or chats with Contacts on your behalf, you are the sender and the business responsible for those communications. You are responsible for following all laws that apply to them, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, wireless carrier and CTIA messaging rules, and state telemarketing, recording, and privacy laws.

#7.1 Consent to Call and Text

You must get and keep records of all legally required consent before Oozie.si calls or texts your Contacts on your behalf. Marketing calls and texts require prior express written consent. You must not use purchased, rented, or scraped contact lists.

#7.2 Call Recording and AI Disclosures

An AI-and-recording disclosure plays at the start of every call handled by Oozie.si. Some US states require the consent of all parties to record a call, which is why the disclosure plays every time. You must not disable, shorten, or obscure this disclosure, and you are responsible for any additional notices or consents your business or location requires. Callers may ask to speak with a staff member, and you are responsible for configuring a way to reach staff.

#7.3 Opt-Outs and Quiet Hours

Oozie.si supports STOP opt-out and HELP replies for SMS and does not send SMS between 8 p.m. and 8 a.m. in the recipient's local time. You must honor all opt-out requests, however they are made, and must not try to message a Contact who has opted out, except as the law allows. You must also follow any stricter quiet-hour or frequency rules that apply to you.

#7.4 Registration Information

Carriers require businesses that send SMS to register their brand and use cases, including through A2P 10DLC registration. You must give accurate and complete business information for carrier and number registration and keep it current. Inaccurate information may cause messages to be blocked or numbers to be suspended.

#7.5 Your Privacy Notices

You are responsible for giving your Contacts any privacy notices the law requires and for having a legal basis to process their Personal Data through the Services.

#8. Telephony and Carrier Rules

#8.1 Phone Numbers

Phone numbers we provide or port for you are subject to carrier and regulatory rules. We do not guarantee that a particular number will be available. You do not own numbers we assign to you. Where the law and our providers allow, we will help you port a number out after cancellation if your account is in good standing.

#8.2 Carrier Filtering and Delivery

Carriers may filter, delay, or block calls and messages, label calls as spam, or impose their own fees or limits. WE DO NOT GUARANTEE THAT ANY CALL OR MESSAGE WILL BE DELIVERED, CONNECTED, OR DELIVERED ON TIME.

#8.3 Changes Required by Carriers or Law

We may change telephony and messaging features, or pass through carrier fees, when required by carriers, providers, or law.

#9. AI Features

#9.1 How AI Features Work

The Services use third-party AI models and speech technology. Inputs, such as conversations, knowledge base content, and agent instructions, are sent to third-party model providers through OpenRouter, and to voice and speech providers, to generate AI Output.

#9.2 Your Responsibility for AI Agents

You are responsible for configuring your AI agents, writing and maintaining your knowledge base content, setting appropriate instructions and limits, and reviewing AI Output. You are responsible for how you use AI Output and for what your agents say to your Contacts on your behalf.

#9.3 AI Output Disclaimer

AI OUTPUT MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE, AND MAY NOT REFLECT CURRENT INFORMATION. AI Output is not legal, medical, financial, or other professional advice. Do not rely on it as the sole basis for important decisions.

#9.4 Model Training

We do not use Customer Data to train our own AI models. We use settings and terms intended to prevent our model providers from training their models on Customer Data, where providers offer those options.

#10. Healthcare and Dental Beta; No BAA

During the beta period, Oozie.si for Healthcare and Dental businesses is available only through a waitlist or as a demo.

YOU MUST NOT SUBMIT, UPLOAD, OR ALLOW CALLERS OR CONTACTS TO TRANSMIT PROTECTED HEALTH INFORMATION (PHI) THROUGH OOZIE.SI ON OUR CURRENT INFRASTRUCTURE.

During beta, we do not sign Business Associate Agreements (BAAs), and the Services are not offered as a HIPAA-compliant service. If you are a covered entity or business associate under HIPAA, you must use only demo or synthetic information and must not connect the Services to a phone line, chat, inbox, or integration that receives PHI.

You are solely responsible for any PHI submitted in violation of this Section. We may delete it, suspend the affected features or account, or take other reasonable steps.

#11. Customer Data

#11.1 Ownership

As between you and us, you own Customer Data.

#11.2 Your License to Us

You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data as needed to provide, secure, support, and improve the Services, to comply with law, and as otherwise allowed by these Terms and the Data Processing Addendum. This includes sharing Customer Data with our sub-processors for those purposes.

#11.3 Your Responsibility for Customer Data

You are responsible for the accuracy, quality, and legality of Customer Data and for having all rights and consents needed to provide it to us.

#11.4 Aggregated and De-identified Data

We may collect and use usage information and create aggregated or de-identified data from use of the Services, such as overall usage statistics. That data does not identify you, your Team Members, or your Contacts. We may use it to operate, analyze, and improve the Services. We will not try to re-identify it.

#12. Feedback

If you give us suggestions or feedback about the Services, we may use it without restriction or payment to you.

#13. Our Intellectual Property

We and our licensors own all rights in the Services, including software, designs, models, documentation, and trademarks. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during your subscription to access and use the Services for your internal business purposes. We reserve all rights not expressly granted.

#14. Third-Party Services and Integrations

The Services may connect to third-party services you choose to use, such as Google. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and we may change or stop supporting an integration if the provider changes its service or terms. When you connect an integration, you authorize us to exchange data with it as needed to provide the features you enable.

#15. Data Processing Addendum

This Section is our Data Processing Addendum ("DPA"). It applies when we process Personal Data in Customer Data on your behalf. For that processing, you are the controller (or "business") and we are your processor (or "service provider").

#15.1 Instructions

We will process Personal Data in Customer Data only on your documented instructions, including as described in these Terms and as you configure the Services, unless the law requires otherwise. If the law requires other processing, we will tell you first unless the law prohibits it. We will tell you if we believe an instruction violates applicable data protection law.

#15.2 Details of Processing

  • Subject matter and duration: providing the Services for the term of your subscription and any post-termination period described in Section 21.
  • Nature and purpose: hosting, storing, transmitting, transcribing, recording, analyzing, and generating responses to communications on your behalf.
  • Types of Personal Data: contact details, phone numbers, call recordings, transcripts, messages, chat content, lead details, hashed IP addresses, review content, and other data you or your Contacts submit.
  • Data subjects: your Contacts, Team Members, and other people whose information you submit.

#15.3 Confidentiality of Personnel

We will make sure people we authorize to process Personal Data are bound by confidentiality obligations.

#15.4 Security Measures

We will maintain appropriate technical and organizational measures to protect Personal Data. These include encryption in transit, hashed storage of IP addresses on leads, role-based access controls, 2FA for team accounts, and limiting access to people who need it. No system is perfectly secure.

#15.5 Sub-processors

You authorize us to use the sub-processors listed in our Privacy Policy. We will impose data protection obligations on each sub-processor that are no less protective than those in this DPA, and we remain responsible for their performance.

We will give you advance notice of any new sub-processor by updating the list and notifying you by email or through the Services. You may object on reasonable data protection grounds within the notice period. If we cannot reasonably address your objection, you may terminate the affected Services and receive a prorated refund of any prepaid fees for the period after termination.

#15.6 Assistance With Requests

Taking into account the nature of the processing, we will help you respond to requests from individuals exercising their data protection rights, including through features that let you access, export, correct, and delete Customer Data. If we receive a request directly from one of your Contacts, we will direct the person to you or forward the request to you, and we will not respond ourselves except as you instruct or the law requires.

We will also provide reasonable help with data protection impact assessments and consultations with regulators, where required by law.

#15.7 Breach Notification

We will notify you without undue delay after becoming aware of a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Personal Data in Customer Data. We will give you information you reasonably need to meet your own notification obligations and take reasonable steps to contain and remediate the breach.

#15.8 Deletion or Return

When your subscription ends, we will make Customer Data available for export as described in Section 21, and then delete or de-identify it within a reasonable period, unless the law requires us to keep it. Backups are deleted on their normal backup cycle.

#15.9 Audit Information

On reasonable written request, and no more than once a year unless required by law or after a breach, we will provide information reasonably needed to show our compliance with this DPA, such as written responses to security questionnaires. Information we provide is our Confidential Information.

#15.10 International Transfers

We may process Personal Data in the United States and other countries where we or our sub-processors operate. Where Personal Data from the European Economic Area, Switzerland, or the United Kingdom is transferred to a country without an adequacy decision, the European Commission's Standard Contractual Clauses (and, for the UK, the UK International Data Transfer Addendum) apply and are incorporated by reference, with you as data exporter and us as data importer.

#15.11 CCPA Service-Provider Terms

For Personal Data subject to the CCPA/CPRA or similar US state laws, we will not:

  • Sell or share the Personal Data, including for cross-context behavioral advertising
  • Retain, use, or disclose the Personal Data for any purpose other than the business purposes of providing the Services as specified in these Terms, or as otherwise permitted by those laws
  • Retain, use, or disclose the Personal Data outside our direct business relationship with you
  • Combine the Personal Data with personal information we receive from other sources, except as permitted by those laws

We will comply with applicable obligations under those laws, provide the same level of privacy protection they require, and notify you if we can no longer meet our obligations. You may take reasonable steps to stop and remediate unauthorized use of Personal Data. We certify that we understand and will comply with these restrictions.

#15.12 Your Obligations

You confirm that you have given all required notices and obtained all required consents and legal bases for us to process Personal Data on your behalf, and that your instructions comply with applicable law.

#16. Confidentiality

#16.1 What Is Confidential

"Confidential Information" means non-public information that one party shares with the other that is marked confidential or that a reasonable person would understand to be confidential. Customer Data is your Confidential Information. Non-public details about the Services and our pricing are our Confidential Information.

#16.2 Exceptions

Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known to the receiving party without restriction, is received from a third party without a duty of confidentiality, or is independently developed.

#16.3 Obligations

Each party will use the other's Confidential Information only to perform under these Terms and will protect it with at least reasonable care. A party may disclose Confidential Information to its employees, contractors, and service providers who need to know it and are bound by confidentiality duties, and when required by law, after giving the other party notice where legally permitted.

#17. Warranties

Each party confirms that it has the authority to enter into these Terms. You confirm that your use of the Services and Customer Data will comply with these Terms and applicable law.

#18. Disclaimer of Warranties

THE SERVICES, INCLUDING AI FEATURES, AI OUTPUT, AND BETA FEATURES, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT CALLS OR MESSAGES WILL BE DELIVERED, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.

Features we label as beta, preview, or early access may be incomplete, may change, and may be discontinued at any time.

#19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO US UNDER THESE TERMS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits do not apply to your payment obligations, your indemnity obligations, or your breach of Section 6, Section 7, or Section 10, or to liability that cannot be limited by law.

#20. Indemnity

#20.1 Your Indemnity

You will defend, indemnify, and hold harmless Oozie.si and its affiliates, officers, employees, and agents from and against third-party claims, and related losses, damages, fines, penalties, costs, and reasonable attorneys' fees, arising out of or relating to:

  • Customer Data
  • Your communications with Contacts through the Services
  • Your failure to obtain required consents or give required disclosures, including claims under the TCPA, state telemarketing laws, and call-recording laws
  • Your breach of Section 6 (Acceptable Use), Section 7, or Section 10
  • Your violation of applicable law

#20.2 Our Indemnity

We will defend you against third-party claims alleging that the Services, as provided by us, infringe that third party's intellectual property rights, and pay damages finally awarded or agreed in settlement. We have no obligation for claims arising from Customer Data, AI Output, third-party services or integrations, combinations of the Services with anything we did not provide, modifications not made by us, or use of the Services in breach of these Terms. If the Services are or may be found infringing, we may modify them, get you the right to keep using them, or end your subscription and refund prepaid fees for the remaining period. This Section states our entire liability for infringement claims.

#20.3 Procedure

The party seeking indemnity must notify the other party promptly, give it control of the defense and settlement, and provide reasonable cooperation. The indemnifying party may not settle a claim in a way that imposes obligations on the other party without its consent, which may not be unreasonably withheld.

#21. Suspension and Termination

#21.1 Suspension

We may suspend all or part of the Services immediately if we reasonably believe that you have breached Section 6, Section 7, or Section 10; that your use poses a security, legal, or carrier risk; that a carrier or regulator requires it; or that your payment is overdue after notice. Where practical, we will tell you the reason and restore access once the issue is resolved.

#21.2 Termination

You may end your subscription at any time as described in Section 5.6. We may end these Terms with notice if you materially breach them and do not cure the breach within a reasonable time after notice, or immediately for serious or repeated violations of Sections 6, 7, or 10, or where required by law. We may also stop offering the Services with reasonable advance notice, and in that case we will refund prepaid fees for the period after termination.

#21.3 Effect of Termination

When your subscription ends, your right to use the Services ends and you must pay all amounts owed. For a reasonable period after termination, we will make Customer Data available for you to export, unless we terminated for your serious breach or the law prohibits it. After that period, we will delete or de-identify Customer Data as described in Section 15.8 and our Privacy Policy.

#21.4 Survival

Sections that by their nature should survive termination will survive, including Sections 5 (for unpaid amounts), 11.4, 12, 13, 15 (until Customer Data is deleted), 16, 18, 19, 20, 24, and 25.

#22. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and change the effective date. For material changes, we will give you advance notice by email or through the Services. Changes to fees follow Section 5.9. If you continue using the Services after the changes take effect, you accept the updated Terms. If you do not agree, you must stop using the Services and cancel your subscription.

#23. Export and Sanctions Compliance

You must comply with all applicable export control and sanctions laws. You confirm that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive US sanctions, and that you are not on any US government list of restricted or prohibited parties. You must not use the Services in violation of those laws.

#24. Dispute Resolution, Binding Arbitration, and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND US TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND LIMITS HOW YOU CAN SEEK RELIEF.

#24.1 Informal Resolution First

Before starting arbitration or a court case, the party with a dispute must send the other a written notice describing the dispute and the relief requested. Send notices to us at support@oozie.si and to 5635 Springhouse Dr, Pleasanton, CA 94588. We will send notices to the email address on your account. The parties will try in good faith to resolve the dispute informally for 60 days after the notice is received.

#24.2 Binding Arbitration

If the dispute is not resolved within 60 days, either party may start binding arbitration. YOU AND WE AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND NOT IN COURT, EXCEPT AS STATED IN THIS SECTION.

Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules in effect when the arbitration starts. The arbitration will be seated in California, and hearings may take place by video conference where the arbitrator allows. A single arbitrator will decide the dispute, including questions about the scope and enforceability of this arbitration agreement, except as stated in Section 24.6. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this Section.

#24.3 Exceptions

Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek injunctive or other equitable relief in court to protect its intellectual property rights or Confidential Information, or to stop unauthorized use of the Services.

#24.4 Class-Action and Jury-Trial Waiver

YOU AND WE AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL. The arbitrator may not combine more than one party's claims or preside over any class or representative proceeding.

#24.5 30-Day Opt-Out

You may opt out of this arbitration agreement by emailing support@oozie.si within 30 days after you first accept these Terms, with the subject line "Arbitration Opt-Out." Include your name, business name, and the email address on your account. Opting out does not affect any other part of these Terms. If you opt out, Section 25 governs where disputes are heard.

#24.6 Severability of the Class Waiver

If the class-action waiver in Section 24.4 is found unenforceable for any claim, that claim must be severed and decided in court under Section 25, not in arbitration, and the rest of this Section will still apply to all other claims. No class or representative claim may proceed in arbitration.

#25. Governing Law and Venue

These Terms are governed by the laws of California and applicable US federal law, without regard to conflict-of-law rules. Any claim that is not subject to arbitration will be brought only in the state or federal courts located in California, and each party consents to the personal jurisdiction of those courts.

#26. General Terms

#26.1 Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, war, terrorism, labor disputes, government action, internet or utility failures, or failures of carriers or third-party providers. This does not excuse your payment obligations.

#26.2 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, or to an affiliate. Any attempted assignment in violation of this Section is void.

#26.3 Notices

We may give you notices by email to the address on your account or through the Services. You must send legal notices to us at support@oozie.si and by mail to 5635 Springhouse Dr, Pleasanton, CA 94588. Notices are effective when received.

#26.4 Independent Contractors

The parties are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship.

#26.5 No Waiver and Severability

If we do not enforce a provision, that is not a waiver of our right to enforce it later. Except as stated in Section 24.6, if any provision is found unenforceable, it will be enforced to the maximum extent possible, and the rest of these Terms will remain in effect.

#26.6 Entire Agreement

These Terms, including the Data Processing Addendum in Section 15, any Order, and the policies they refer to, are the entire agreement between you and us about the Services. They replace any earlier agreements on the same subject. Terms in your purchase orders or other documents do not apply.

#26.7 Order of Precedence

If there is a conflict, the following order applies: first, the Data Processing Addendum in Section 15, on matters of data processing; second, any signed agreement or Order with us that expressly overrides these Terms; and third, the rest of these Terms.
